Sponsorship Contract
TERMS AND CONDITIONS
This contract will serve as an agreement between FS-ISAC and your company for Sponsorship at the CIP Congress to be held October 6th-8th at the Rio All-Suite Hotel and Casino in Las Vegas, Nevada.
An authorized agent of your company acknowledges and accepts the following terms and conditions of this contract by completing the Sponsorship Registration on the CIP Congress Web site (www.cip2008.com) and indicating the specific Sponsorship Type and Level requested (detailed at the bottom of this Contract).
Acceptance
All Sponsorship slots and Exhibit Table assignments are available on a first-come, first-served basis in the Sponsor Pavilion. The Conference limits the number of total Sponsors to ensure an acceptable attendee/sponsor ratio, and acceptance of a Sponsorship request by the FS-ISAC is based upon slot availability at the time of receipt of the completed Web site registration process.
Note: Pavilion Exhibit Table location selections will be offered to and accepted for all fully-paid Sponsors in good standing in September 2008, based on (1) Sponsorship Level and then (2) Registration time/date stamp.
Scope
The Association and Sponsor agree that the Activities will have a specific and limited scope, consistent with the Association’s nonprofit status and tax exemption. The Association and Sponsor agree that the purposes of the Activities will be educational in nature, that no product promotion or advertising services by the Association is intended in connection with the Activities, and that the Activities will be conducted in accordance with all relevant Association Guidelines and Policies. In addition, the Association’s participation in the Activities does not convey the Association’s approval, endorsement, certification, acceptance, or referral of any product or service of the Sponsor.
Payment
The following payment conditions apply:
- A deposit of 50% of the Sponsorship amount must be received by July 31, 2008. If the deposit is not received by July 31, 2008, your Sponsorship slot may be released for resale.
- Any Sponsorship booked after July 31, 2008 will require the full deposit of 50% at the time of booking in order to reserve the Sponsorship.
- All balances must be paid no later than August 29, 2008.
- Any Sponsorship booked after August 29, 2008 will require the full payment of the Sponsorship at the time of booking in order to hold the Sponsorship.
- Payments not received by the required due dates are subject to a 3% late fee per day and immediate cancellation of Sponsorship.
- If the cancellation is issued after August 29, 2008 due to lack of payment, there will be no refunds issued for any payments already made.
- If payments are not received by the said due dates, the Conference reserves the right to not allow a Sponsor to attend the Conference and/or Sponsor information may not be included on any Conference promotional materials, attendee contact list and/or final Agenda.
Cancellations
Any cancellations must be sent via email to Ted Hansen at thansen@fsisac.us. Cancellations received prior to August 29, 2008 will receive a refund of the deposit paid less 10% of the deposit amount. There will be no refunds issued for cancellations received on or after August 29, 2008.
Invoices
Once the completed Web-site registration has been received, the contact person listed will receive two invoices via email (unless otherwise stated in communications) as follows:
- One for the deposit amount due by July 31, 2008
- One for the balance due by August 29, 2008
- If payment is not received by the applicable due date, the Sponsorship will be released.
- For any Sponsorship booked after August 29, 2008, if payment is not received within one week of the invoice date, the Sponsorship will be released.
Note: If you require PO# to be furnished with the invoice, please include it with the completed registration.
Sponsorship Sharing
Sharing Sponsorships is normally not permitted. Please contact Ted Hansen via email at thansen@fsisac.us if you have a circumstance where you feel a shared Sponsorship is appropriate.
Member Solicitation
There will be no blind solicitation of members of past meetings. You may only contact members from past meetings if you have received prior permission. If there are any blind or mass marketing solicitations sent out, it will be cause for immediate cancellation of Sponsorship and possible denial of Sponsorship at future events.
Sponsor Events During Conference
Any Sponsor event(s) held outside of any conference function (this includes, but is not limited to, all sessions, meals, receptions, and other evening events) must have prior approval. No events can be held at the same time as any Conference function; however, Sponsors are welcome to partner with the Conference on specific defined events (see the Sponsorship Opportunities link for Non-Exhibit options) and/or request events outside of the official Conference functions (such as immediately prior to or after the Conference, after night events are completed, etc.). Please contact Ted Hansen via email at thansen@fsisac.us to request approval. If there are any unapproved Sponsor Events held during any part of the Conference, it will be cause for immediate cancellation of Sponsorship at the current event and possible denial of Sponsorship for future events.
Attendee Contact Lists
The FS-ISAC does not release pre-registered attendee lists. Your staff attending the Conference will receive a printed contact list onsite for attendees that have agreed to be included in the list. Information will only include attendee name, company and email address. Only Platinum Sponsors will receive an electronic file of the attendee list.
Sponsor Staff Passes and Registration
Sponsors only receive the number of Conference passes allotted to your level of Sponsorship as defined in the Sponsorship Levels. Additional attendee passes may not be purchased (the exception being if a Company sponsors a Non-Exhibit event). Company Staff representatives may be registered for the actual Conference at the time of company registration under the "Sponsor Attendee Information" section. All Company Staff representatives must be registered online through the Sponsor Site Registration. Please be sure to note the conference registration confirmation number to make any modifications/substitutions to Company Staff representatives. Modifications/Substitutions can be made until September 1, 2008 via www.cip2008.com. Modifications/Substitutions made after September 1, 2008 will not be included in the Conference Attendee Contact List.
Confidential Information
The Association and Sponsor, on behalf of themselves and their respective agents and employees, agree not to use or disclose at any time any confidential information of the other, except as may be authorized in writing by the other.
Indemnification
Sponsor agrees to indemnify and hold harmless the Association, its officers, directors, employees and agents from any and all claims, losses, damages, liabilities, judgments, or settlements, including reasonable attorneys’ fees, costs, and other expenses incurred on account of the Sponsor’s willful or negligent acts or omissions in connection with the Activities. In addition, the parties shall not be considered to have a partnership, agency, or joint venture relationship.

The following Levels and pricing are for a single Conference Sponsorship (one Meeting):
Platinum Sponsorship - $40,000
- One 8 1/2 x 11” flyer OR one CD-ROM given to attendees at registration (flyer or CD-ROM provided by sponsor)
- Electronic version of attendee database emailed within two weeks after conference
- Space for one banner up to 8 feet long (banner provided by sponsor)
- Company name, logo, Web site link, and short description on the CIP2008 Web site
- Mention in sponsor letter in attendee folder
- Logo on agenda in attendee folder
- Logo on Conference Sponsors sign
- One 6-foot table in sponsor area (first priority for location selection, handled in order of deposits received)
- Four conference passes
Gold Sponsorship - $20,000
- Space for one banner up to 8 feet long (banner provided by sponsor)
- Company name, Web site link, and short description on conference Web site
- Mention in sponsor letter in attendee folder
- Logo on agenda in attendee folder
- Prominent company name listing on Conference Sponsors sign
- One 6-foot table in sponsor area (second priority for location selection, handled in order of deposits received)
- Three conference passes
Silver Sponsorship - $10,000
- Company name, Web site link, and short description on the CIP2008 Web site
- Mention in sponsor letter in attendee folder
- Company name listing on Conference Sponsors sign
- One 6-foot table in sponsor area (locations assigned in order of deposits received)
- Two conference passes
